These terms govern the use of Cuadrilly, the cloud software offered by Cuadrilly ("Cuadrilly", "we", "us"). By creating an account or using the service, the business that creates it (the "Customer") and every person who uses it accept these terms and our Privacy Policy.
1. The service
Cuadrilly helps field-service businesses manage their schedule, crew, clients, quotes and payments, and handle messages from WhatsApp, Instagram and Telegram in a shared inbox, with optional AI agents. We may improve, change or retire features; if we retire a major feature, we will give reasonable advance notice.
2. Accounts
- Whoever creates the account confirms they are at least 18 years old and authorized to bind the business.
- The Customer is responsible for the users it invites, the permissions it grants them and everything done with its accounts.
- Passwords are personal. Let us know immediately if you suspect unauthorized access.
3. Subscription and payments
- The service is paid by subscription according to the plan and price shown at sign-up. Charges are processed through our payment provider.
- The subscription renews automatically each period until the Customer cancels it. Cancellation takes effect at the end of the period already paid; we do not give partial refunds unless required by law.
- Prices may change; we will give at least 30 days' notice before a change affects a renewal.
- Applicable taxes are the Customer's responsibility.
- If a payment fails, we may limit access until it is resolved.
- Payments the Customer collects from its own clients through Stripe or ONVO are governed by those providers' terms; Cuadrilly only provides the integration and is not a party to those transactions.
4. Acceptable use
The Customer agrees not to use Cuadrilly to:
- send spam or messages to people who have not agreed to receive them;
- violate the WhatsApp Business Policy, the WhatsApp Commerce Policy, the terms of Meta, Instagram or Telegram, or any applicable law;
- process personal data without a valid legal basis, or upload third-party data without authorization;
- offer illegal, deceptive or prohibited products or services;
- attempt to access other businesses' data, breach security, reverse engineer or overload the platform.
We may suspend an account that breaches this section, notifying the Customer when possible.
5. Messaging channels and third-party services
- To connect WhatsApp, Instagram or Telegram, the Customer must accept and comply with those platforms' terms. By connecting WhatsApp through Cuadrilly, the Customer also accepts the WhatsApp Business Solution Terms.
- Meta may charge the Customer directly for WhatsApp conversations or templates; those charges are not part of the Cuadrilly subscription unless stated otherwise.
- The availability of those channels depends on their providers. We are not responsible for outages, blocks, limits or changes they introduce, nor for a platform's decision to suspend a number or account.
6. Customer data
- The data the Customer uploads or receives in Cuadrilly belongs to the Customer. It grants us only the permission needed to host, process and display it in order to provide the service.
- For the personal data of its clients, employees and contacts, the Customer is the controller and Cuadrilly acts as processor, as described in the Privacy Policy.
- The Customer warrants that it has the necessary legal basis (for example, consent) to upload that data — especially employees' ID documents, background checks and bank details — and to message its contacts.
- The Customer may request a copy of its data before closing the account. After closure, we will delete it as described in the Privacy Policy.
7. Artificial intelligence features
AI agents generate replies automatically and can make mistakes. The Customer decides whether to enable them, configures their instructions and is responsible for supervising what they say on its behalf, particularly prices, commitments and sensitive information.
8. Intellectual property
Cuadrilly, its code, design and trademarks belong to us or our licensors. These terms do not transfer any rights in them beyond using the service. If you send us suggestions, we may use them freely to improve the product.
9. Availability and support
We make reasonable efforts to keep the service available and secure, but there may be interruptions due to maintenance, failures or causes beyond our control. We provide support through the channels published on our website.
10. Cancellation and termination
- The Customer may cancel the subscription at any time.
- We may terminate or suspend the service if the Customer breaches these terms or stops paying, or if required by law or by a platform we depend on.
- Sections that by their nature should survive (outstanding payments, limitation of liability, governing law) survive termination.
11. Warranties
The service is provided "as is" and "as available". To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose and uninterrupted or error-free operation.
12. Limitation of liability
To the extent permitted by law, we are not liable for indirect damages, lost profits, or loss of data or business. Our total liability for any claim related to the service is limited to the amount the Customer paid us in the 12 months before the event giving rise to the claim.
13. Indemnity
The Customer will hold Cuadrilly harmless from third-party claims arising from the data it uploads, the messages it sends, or its breach of these terms or of the messaging platforms' terms.
14. Changes to these terms
We may modify these terms. We will post the new version on this page and, if the change is significant, give at least 30 days' notice. Continuing to use the service after that date means accepting the changes.
15. Governing law
These terms are governed by the laws of the Republic of Costa Rica. Any dispute will be submitted to the competent courts of San José, unless a mandatory rule provides otherwise.
